By accessing or using our primary website, globalpsychsolutions.com (the “Website”), as well as our Global Access Portal (portal.globalpsychsolutions.com) and any related services (collectively, the “Site”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, please discontinue use of all GPS websites and portals immediately.

1. Acceptance of Terms

1.1 Eligibility

By using the Site, you confirm that:

• You are at least 18 years old or have obtained parental or guardian consent if you are a minor.

• You have the legal capacity to enter into a binding agreement.

• If you are using the Site on behalf of an organization, you have the authority to bind that organization to these Terms.

1.2 Agreement

Your use of the Site signifies your acceptance of and compliance with these Terms, as well as your agreement to our Privacy Policy. If you do not agree with any part of these Terms, you must immediately cease using the Site.

2. Scope of Services

2.1 Psychoeducational Services

GPS provides psychoeducational assessments, consultations, and related services primarily to clients in Illinois and Florida. These services may be delivered in person or through telepractice methods (including synchronous video conferencing and remote evaluation tools).

2.2 Global Access Portal

The Global Access Portal (portal.globalpsychsolutions.com) is a secure online platform that GPS offers to clients for scheduling, accessing assessments, tracking progress, and communicating with our psychologists or consultants. Use of the portal is subject to these Terms, as well as any additional written agreements (e.g., Service Agreement, Telehealth Informed Consent) you may receive upon engagement.

2.3 No Emergency Services

Our Site (including the Global Access Portal) and services are not designed to handle emergency situations or crises. If you are experiencing a mental health crisis or any other emergency, please call 911 (in the U.S.) or go to your nearest emergency department.

2.4 Informational Use

All content on the Site is provided for general informational or educational purposes and does not constitute specific medical, psychological, or legal advice.

3. Professional-Client Relationship

3.1 No Automatic Relationship

Use of this Site (including the Global Access Portal) does not establish a psychologist-client or consultant-client relationship between you and GPS.

3.2 Service Agreements

Any professional relationship with GPS is governed by a separate, written Service Agreement or similar contractual document. You must review and sign the applicable Service Agreement to formally engage our psychoeducational services.

3.3 Telepractice

If you receive services remotely, you acknowledge that these services are provided under the licensure and laws of the states in which GPS operates (primarily Illinois and Florida). By using our telepractice services, you confirm you are physically present in a jurisdiction where our psychologists or consultants hold valid licensure or authorization to practice.

4. Intellectual Property Rights

4.1 Ownership

All content available on the Site—including but not limited to text, graphics, logos, images, videos, and software (“Content”)—is the property of GPS or its licensors and is protected by applicable intellectual property laws.

4.2 License to Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for personal, non-commercial use. Any unauthorized use—such as reproduction, modification, or distribution—requires explicit, prior written consent from GPS.

4.3 Trademarks

All trademarks, service marks, and trade names displayed on the Site are the property of GPS or their respective owners. You may not use or display such marks without the prior written permission of GPS or the relevant owner.

5. User Accounts and Global Access Portal

5.1 Account Creation

Certain features of our Site, including the Global Access Portal, require the creation of a user account. You agree to provide accurate, current, and complete information during registration and to promptly update your information if it changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify GPS of any unauthorized use of your account or other breach of security.

5.3 Portal Use

By accessing the Global Access Portal, you agree to comply with any additional terms, policies, or guidelines that may be presented to you within the portal environment (e.g., telehealth consent forms, scheduling policies, secure messaging guidelines).

5.4 Access Revocation

GPS reserves the right to suspend, restrict, or terminate your account at any time if we suspect fraudulent activity, non-compliance with these Terms, or behavior that could harm GPS or other users.

6. User Conduct

You agree that you will not:

1. Use the Site or the Global Access Portal for any unlawful purpose or in violation of any local, state, national, or international law.

2. Upload, post, or transmit any harmful, threatening, defamatory, obscene, or otherwise objectionable material.

3. Attempt to gain unauthorized access to the Site, Global Access Portal, related systems, or networks.

4. Interfere with the Site’s security, servers, or networks.

5. Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site.

9.2 Non-Refundable

Unless explicitly stated otherwise in a signed Service Agreement, all fees paid are non-refundable.

9.3 Cancellation

To avoid additional fees, cancellations or rescheduling requests must be made at least 48 hours before a scheduled appointment. Cancellations received after this time may incur a cancellation fee, as detailed in the Service Agreement.

10. Third-Party Links and Resources

10.1 External Links

The Site may include links to third-party websites or resources not owned or controlled by GPS. These links are provided solely for your convenience.

10.2 No Endorsement

GPS does not endorse or assume any responsibility for any third-party websites, their content, or any services they offer. Accessing these links is at your own risk, and you should review the terms and privacy policies of any third-party sites you visit.

11. Telepractice and Remote Learning Disclaimers

11.1 Technological Requirements

You are responsible for ensuring you have the necessary devices, internet connection, and compatible software to access telepractice services (including video sessions, online assessments, and portal features). GPS is not liable for issues arising from your hardware, software, or internet connectivity.

11.2 Licensure Boundaries

GPS psychologists and consultants provide services under the licensure regulations of the states in which they are licensed. By participating in telepractice services, you confirm that you are physically present in a state or jurisdiction where our professionals hold valid licensure or authorization to practice.

11.3 No Guarantees

Remote psychoeducational services, like in-person services, vary in effectiveness based on individual learner needs, engagement level, and technical factors. We do not guarantee specific outcomes or improvement.

12. Disclaimer of Warranties

12.1 As Is, As Available

The Site (including the Global Access Portal) and all Content are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied.

12.2 No Guarantee of Accuracy or Availability

GPS does not warrant that the Site will meet your requirements or that it will be uninterrupted, timely, secure, or error-free. We also do not guarantee the accuracy or reliability of any information obtained through the Site.

13. Limitation of Liability

13.1 Exclusion of Damages

To the fullest extent permitted by law, GPS and its affiliates, officers, directors, employees, or agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of (or inability to use) the Site or the Global Access Portal.

13.2 Total Liability

In any event, GPS’s total liability to you for all claims arising under these Terms shall not exceed the total amount paid by you (if any) for accessing the Site or receiving services, or one hundred U.S. dollars (USD $100), whichever is greater.

We employ industry-standard security measures to protect user data. However, no method of data transmission or electronic storage is 100% secure. We cannot guarantee absolute security of your information.

14.2 User Responsibility

You are responsible for maintaining the security of your devices and account credentials. If you suspect any unauthorized access or breach of security, notify us immediately.

15. Modifications to Terms

These Terms, and any dispute arising out of or relating to these Terms or the Site, will be governed by and construed in accordance with the laws of the State of Illinois and/or Florida, as applicable, without regard to conflict of law principles.

16.2 Arbitration

Any dispute arising from or relating to these Terms or the Site that cannot be resolved informally shall be resolved by binding arbitration. If your primary residence or the primary location of services rendered is in Illinois, arbitration will take place in Illinois. If your primary residence or the primary location of services rendered is in Florida, arbitration will take place in Florida. Otherwise, the parties will confer in good faith to determine a mutually acceptable location. The arbitration shall be conducted by a single arbitrator, and judgment on the award may be entered in any court having jurisdiction.

16.3 Injunctive Relief

Notwithstanding the above, GPS reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or other rights.

17. Testimonials and Results Disclaimer

17.1 Individual Experiences

Testimonials shared on the Site or through other media are individual experiences and do not guarantee similar results for all users.

17.2 No Guarantee of Specific Outcomes

Each client’s progress depends on numerous factors, including their unique needs, level of engagement, and adherence to professional recommendations.

18. Indemnification

18.1 Obligation to Indemnify

You agree to indemnify, defend, and hold harmless GPS, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party rights.
